ProofMEDIA Commercial Licence Agreement

This Licence Agreement (“Agreement”) governs the use of all ProofMEDIA software products (“Products”) provided by ProofMEDIA (“Company”, “we”, “us”, “our”).

By purchasing, downloading, installing, or using any ProofMEDIA Product, you (“Licensee”, “you”, “your”) agree to be bound by this Agreement.


1. Grant of Licence

Upon valid purchase and while your licence remains active, ProofMEDIA grants you a non-exclusive, non-transferable, revocable commercial licence to:

  • Install and use the Product on your own websites.
  • Install and use the Product on websites owned by your clients.
  • Charge your clients fees (including recurring fees) for services that include use of the Product.
  • Use the Product as part of bundled services, retainers, or bespoke development work.

This licence is granted solely to the purchasing entity or individual and may not be transferred without written consent.


2. Restrictions

The Licence does NOT permit you to:

  • Resell, redistribute, sublicense, or transfer the Product as a standalone product.
  • Make the Product available for download to third parties.
  • Include the Product in any competing marketplace, SaaS platform, or product bundle where it is the primary value.
  • Claim ownership of the underlying Product code.
  • Remove copyright notices or proprietary markings.
  • Use the Product in any unlawful, harmful, fraudulent, or abusive manner.

Any unauthorised distribution or resale will result in immediate termination of the licence.


3. Ownership & Intellectual Property

All Products remain the intellectual property of ProofMEDIA.

This Agreement grants a licence to use the Product — not ownership of the Product.

All trademarks, branding, and proprietary rights remain exclusively with ProofMEDIA.


4. Modifications (If Applicable to Tier)

Where your licence tier permits modification:

  • You may modify the Product for internal or client use.
  • You may not redistribute modified versions of the Product.
  • You may not create derivative products for resale.

All modifications are made at your own risk.


5. Licence Validation & Term

Your right to use the Product is conditional upon:

  • Maintaining an active licence (if subscription-based).
  • Compliance with this Agreement.

ProofMEDIA reserves the right to suspend or revoke licences where terms are breached.

Upon termination:

  • You must cease new installations.
  • Continued use may be restricted depending on licence type.

6. No Warranty

The Products are provided “as is” and “as available” without warranties of any kind, either express or implied.

ProofMEDIA does not guarantee:

  • That the Product will be error-free.
  • That the Product will meet your specific requirements.
  • That the Product will operate without interruption.
  • Compatibility with all third-party themes, plugins, hosting environments, or email providers.

You assume full responsibility for testing the Product before deploying it in live environments.


7. Limitation of Liability

To the fullest extent permitted by law:

ProofMEDIA shall not be liable for:

  • Any direct, indirect, incidental, consequential, special, or punitive damages.
  • Loss of profits.
  • Loss of revenue.
  • Loss of data.
  • Loss of business opportunities.
  • Client disputes arising from your implementation.
  • Deliverability failures.
  • Hosting failures.
  • Security breaches resulting from third-party systems.

ProofMEDIA’s total liability under this Agreement shall not exceed the amount paid by you for the Product in the preceding 12 months.


8. Indemnification

You agree to indemnify, defend, and hold harmless ProofMEDIA, its directors, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising out of:

  • Your use or misuse of the Product.
  • Your modification of the Product.
  • Your implementation on client websites.
  • Any breach of this Agreement.
  • Any unlawful use including spam, data misuse, or regulatory violations.
  • Any claims made by your clients or third parties related to your services.

You accept full responsibility for how the Product is deployed and used.


9. Compliance & Data Protection

You are solely responsible for:

  • Compliance with GDPR, CAN-SPAM, PECR, or any other applicable regulations.
  • Obtaining lawful consent from subscribers.
  • Proper configuration of email systems.
  • Data storage and security practices on your hosting environment.

ProofMEDIA provides tools. You are responsible for lawful usage.


10. Third-Party Services

ProofMEDIA Products may rely on:

  • WordPress
  • Hosting providers
  • SMTP services
  • Email infrastructure

ProofMEDIA is not responsible for the performance, uptime, or policies of third-party services.


11. Updates & Support

Where applicable:

  • Updates are provided only to active licence holders.
  • Support scope is defined separately and may vary by licence tier.
  • ProofMEDIA reserves the right to modify, improve, or discontinue features.

12. Termination

ProofMEDIA reserves the right to terminate this Agreement immediately if:

  • You breach any term.
  • You redistribute the Product.
  • You engage in fraudulent or unlawful use.

Termination does not entitle you to refund unless otherwise stated.


13. Governing Law

This Agreement shall be governed by and construed in accordance with United Kingdom law.

Any disputes shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.
