These Terms of Service (“Terms”) govern your access to and use of ProofMEDIA Membership and associated software products (“Services”) provided by ProofMEDIA Ltd (“ProofMEDIA”, “we”, “us”, “our”).
By applying for, purchasing, or using ProofMEDIA Membership, you agree to be bound by these Terms.
1. Nature of the Service
ProofMEDIA provides a commercial agency membership granting access to a privately maintained WordPress software framework.
Membership includes:
- Access to the ProofMEDIA software framework
- Ongoing updates and compatibility maintenance
- Commercial deployment rights under the ProofMEDIA Commercial Licence
- Roadmap governance and structural oversight
ProofMEDIA does not provide hosting, email delivery services, or third-party infrastructure.
2. Eligibility
ProofMEDIA Membership is intended for professional agencies and businesses.
We reserve the right to:
- Approve or decline membership applications
- Limit the total number of active members
Membership is granted at our discretion to maintain quality, governance, and long-term viability.
3. Membership Fees
Membership fees are billed monthly or annually as selected at checkout.
- Fees are payable in advance.
- Failure to pay may result in suspension of updates and support access.
- All fees are exclusive of applicable taxes unless stated otherwise.
Pricing may be revised for future billing periods with reasonable notice.
4. Cancellation
You may cancel your Membership at any time.
- Cancellation prevents future billing.
- Your Membership remains active until the end of the current billing cycle.
- No pro-rata refunds are provided unless required by law.

5. Licence & Usage
Use of the Software is governed by the ProofMEDIA Commercial Licence Agreement.
Membership grants commercial deployment rights but does not transfer ownership of intellectual property.
You may deploy the Software on client websites as part of professional services, subject to licence restrictions.
6. Continuity
If your Membership is cancelled or expires:
- You retain the right to use the version of the Software obtained during your active Membership.
- You will no longer receive updates, new releases, or support.
ProofMEDIA does not remotely disable previously installed versions of the Software.
7. Member Responsibilities
You are responsible for:
- Compliance with applicable laws and regulations (including GDPR, PECR, CAN-SPAM, or equivalents)
- Obtaining lawful consent where required
- Proper configuration of hosting and infrastructure
- Testing Software prior to live deployment
- Maintaining secure hosting environments
ProofMEDIA provides software tools. You are responsible for lawful and appropriate implementation.
8. Acceptable Use
You agree not to:
- Redistribute or resell the Software as a standalone product
- Reverse engineer or create competing derivative products for resale
- Use the Software for unlawful, fraudulent, or harmful activities
- Misrepresent your relationship with ProofMEDIA
We reserve the right to suspend or terminate Membership for material breaches.
9. Updates & Changes to Service
ProofMEDIA may:
- Modify, improve, or evolve the Software
- Discontinue specific features where necessary
- Update documentation or governance standards
We aim to preserve long-term structural stability but do not guarantee permanence of any specific feature.
10. No Warranty
The Services are provided “as is” and “as available”.
We make no guarantees regarding:
- Compatibility with all hosting providers or environments
- Uninterrupted or error-free operation
- Specific commercial outcomes
11. Limitation of Liability
To the fullest extent permitted by law, ProofMEDIA shall not be liable for:
- Indirect or consequential loss
- Loss of profits or revenue
- Loss of data
- Client disputes
- Hosting failures or third-party system failures
Total liability shall not exceed the Membership fees paid in the preceding 12 months.
12. Indemnification
You agree to indemnify and hold harmless ProofMEDIA from claims arising from:
- Your use or deployment of the Software
- Regulatory non-compliance
- Client disputes
- Any breach of these Terms
13. Changes to These Terms
We may update these Terms from time to time.
Continued use of Membership after changes take effect constitutes acceptance of the updated Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Kingdom.
Any disputes shall be subject to the exclusive jurisdiction of the UK courts.
